Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Standard; Transfer of Listing. As previously disclosed, on November 25, 2025, Fly-E Group, Inc. (the " Company ") received a written notice from the listing qualifications staff of The Nasdaq Stock Market LLC (" Nasdaq ") notifying the Company that it did not satisfy Nasdaq Listing Rule 5250(c)(1) (the " Rule "), as a result of not having timely filed with the U.S. Securities and Exchange Commission its Form 10-Q for the period ended September 30, 2025 (the " Form 10-Q "). The Company filed the Form 10-Q on December 18, 2025, and received a letter from Nasdaq informing the Company that it has regained compliance with the Rule as a result of the Company's filing of its Form 10-Q (the " Letter ").
