On May 24, 2024, Finward Bancorp (the " Bancorp ") held its Annual Meeting of Shareholders (the " Annual Meeting "), as a virtual-only meeting, pursuant to due notice. Only holders of record of the Bancorp's common stock at the close of business on March 22, 2024 (the " Record Date ") were entitled to vote at the Annual Meeting. On the Record Date, there were 4,301,819 shares of the Bancorp's common stock issued and outstanding. Holders of a total of 3,206,697 shares of common stock were present virtually or by proxy at the Annual Meeting, constituting a quorum. The Bancorp's shareholders voted on four proposals at the Annual Meeting. The proposals are described in detail in the Bancorp's definitive proxy statement filed with the Securities and Exchange Commission on March 29, 2024.
