Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On December 27, 2024, FOXO Technologies Inc., a Delaware corporation (the " Company "), filed an amendment to the Company's Certificate of Incorporation (the " Certificate of Incorporation "), in the form of an Amended and Restated Certificate of Designation (the " Amended Designation ") of the Company's previously designated "Series A Cumulative Convertible Redeemable Preferred Stock" (the " Series A Preferred Stock "). The Amended Designation adds a Section 6(c)(ix) which contains a beneficial ownership limitation of 4.99% (or, upon election by a Holder prior to the issuance of any shares of Series A Preferred Stock, 9.99%) of the number of shares of the Class A Common Stock outstanding immediately after giving effect to the issuance of shares of Class A Common Stock issuable upon conversion of Series A Preferred Stock held by the applicable Holder. The summary of the rights, privileges and preferences of the Series A Preferred Stock described above is qualified in its entirety by reference to the Amended Designation, a copy of which is attached as Exhibit 3.1 to this Current Report on Form 8-K and are incorporated herein by reference.
