ITEM 5.07 SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS (d) As previously reported in the Original Form 8-K, at the Annual Meeting, an advisory vote was conducted on the frequency of future advisory votes on executive compensation. The Board of Directors of the Company (the "Board") recommended that advisory votes be held every year and a majority of the shares were voted for advisory votes to be held every year. The Company has decided, consistent with the vote of the Company's shareholders and the recommendation from the Board, to conduct a shareholder advisory vote on the compensation of the Company's named executive officers every year (the next such vote being at the 2025 Annual Meeting of Shareholders of the Company) until the next required vote on the frequency of shareholder advisory votes on the compensation of the Company's named executive officers (which will be at the 2030 Annual Meeting, unless presented earlier).
