Chapman, George A. ("Chip") Hambro, and Craig Kennedy each notified First Solar, Inc. (the "Company") that they will retire as a member of the Company's Board of Directors (the "Board") and not stand for re-election at the Company's 2024 Annual Meeting of Stockholders (the "2024 Annual Meeting"). Each such director intends to continue to serve as a member of the Board and on each of the Committees on which they currently serve until the date of the 2024 Annual Meeting. Each director's decision to not stand for re-election was not the result of any disagreement with the Company or its management.
