Item 2.02 Results of Operations and Financial Condition. On August 6, 2024, Fortinet, Inc. (the "Company") furnished a Current Report on Form 8-K that included a press release reporting its financial results for the second quarter ended June 30, 2024 (the "Original Form 8-K"). This Current Report on Form 8-K/A amends the Original 8-K solely for the purpose of correcting a clerical error with respect to its guidance for the third quarter of 2024 and fiscal year of 2024 with respect to diluted non-GAAP net income per share. The Company currently expects diluted non-GAAP net income per share in the range of: (i) $0.50 to $0.52 for the third quarter of 2024 and (ii) $2.00 to $2.04 for fiscal year 2024. A copy of the corrected press release is attached as Exhibit 99.1 to this Current Report on Form 8-K/A and is incorporated herein by reference.
