Item 8.01 Other Events. On August 8, 2024, First National Corporation ("First National") and Touchstone Bankshares, Inc. ("Touchstone") issued a joint press release announcing the receipt of regulatory approvals from the Federal Reserve Bank of Richmond, acting under authority delegated by the Board of Governors of the Federal Reserve System, and the Bureau of Financial Institutions division of the State Corporation Commission of the Commonwealth of Virginia, to complete the previously announced merger of Touchstone with and into First National in an all-stock transaction. A copy of the joint press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
