ITEM 4.01(A) - CHANGES IN REGISTRANT'S CERTIFYING ACCOUNTANT On June 24, 2024, the Board of Directors received notice from Olayinka Oyebola & Co ("Olayinka"), the independent registered public accounting firm of SMC Entertainment, Inc. (the "Company"), that they were resigning as the Company's registered accounting firm effective immediately, following the appointment by the Company of RBSM, LLP ("RBSM"), effective June 24, 2024 as its new registered accounting firm. The reports of Olayinka on the financial statements of the Company for the fiscal years ended December 31, 2023, and 2022, did not contain any adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles. During the Company's fiscal years ended December 31, 2023, and 2022, and through March 31, 2024, there were no disagreements, within the meaning of Item 304(a)(1)(iv) of Regulation S-K promulgated under the Securities Exchange Act of 1934 ("Regulation S-K") and related instructions thereto between the Company and Olayinka on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Olayinka, would have caused Olayinka to make reference to the subject matter of the disagreements in connection with its audit reports on the Company's financial statements. ITEM 4.01(B) - APPOINTMENT OF A NEW INDEPENDENT ACCOUNTANT On June 24, 2024, the Company engaged RBSM, LLP ("RBSM") as its independent registered public accounting firm to provide its report for the fiscal year ended December 31, 2024, effective immediately.
