Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year On October 8, 2024, the Board of Directors (the "Board") of Gen Digital Inc. (the "Company"), acting upon the recommendation of the Nominating and Governance Committee of the Board, amended and restated the Company's Bylaws (the "Amended Bylaws"), effective as of that date. The Bylaws were updated to, among other things, clarify and further enhance procedural mechanics, informational, and written representation requirements in connection with stockholder nominations of directors and submission of stockholder proposals pursuant to the advance notice and proxy access provisions of the Bylaws, as applicable. The Bylaws were also amended to make various other ministerial, clarifying, and conforming changes. The foregoing summary of the Amended Bylaws does not purport to be complete and is qualified in its entirety by reference to the complete text of the Amended Bylaws, a copy of which is attached as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated by reference herein.
