01 Entry into a Material Definitive Agreement
Item 1.01 Entry into a Material Definitive Agreement. Golkor Inc. (the "Company") has entered into an engagement agreement with Konik Capital Partners, LLC, a division of T.R. Winston and Company ("Konik Capital") with Konik Capital having the exclusive right to act as lead manager, bookrunner and underwriter on an exclusive, firm commitment basis for one or more proposed public offerings of up to $40,000,000. The agreement is for a term of 12 months. The agreement does not guarantee that Konik Capital will complete an offering for the Company and is subject to the negotiation of an underwriting agreement for any capital raise or offering. This description of the agreement is qualified in its entirety by reference to the full text of the agreement as contained in Exhibit 10.1 to this Form 8-K.
