Item 8.01 Other Events. On May 24, 2024 , GameStop Corp. (the "Company) announced that it has completed its previously disclosed "at-the-market" equity offering program (the "ATM Program"). The Company sold the 45,000,000 shares of its common stock registered under the ATM Program for aggregate gross proceeds (before commissions and offering expenses) of approximately $933.4 million. The Company issued a press release announcing the completion of the ATM Program, a copy of which is attached hereto as Exhibit 99.1, and the information in Exhibit 99.1 is incorporated herein by reference.
