The Company held its Annual Meeting on June 6, 2024, for the purpose of: (i) electing six directors to serve on the Board until the 2025 Annual Meeting of Stockholders; (ii) approving on an advisory basis the compensation of the Company's named executive officers; (iii) approving on an advisory basis the frequency of future advisory votes regarding the compensation of the Company's named executive officers; and (iv) ratifying the appointment of Ernst & Young LLP as the Company's independent registered public accounting firm for the year ending December 31, 2024. On April 8, 2024, the record date for the Annual Meeting, there were 51,034,800 shares of the Company's common stock outstanding and entitled to vote at the Annual Meeting. There were 39,027,104 shares represented in person or by proxy at the Annual Meeting, constituting a quorum for the transaction of business.
