Graphex Group Limited (the “Company” or “we”) is an issuer with its ordinary shares listed on The Stock Exchange of Hong Kong Limited (“HKSE”). Under the Rules Governing the Listing of Securities on the HKSE (“Listing Rules”), we are required to publish the announcement (the “Announcement”) regarding the confirmation and appointment of Maxim Group LLC (“Maxim”) as the Company’s consulting advisor to provide general consulting and related services (“Services”) to the Company in the United States. The terms of the agreement with Maxim include consideration of US$55,077 (equivalent to approximately HK$429,600) which will be satisfied by the Company allotting and issuing 2,400,000 new ordinary shares (the “Consideration Shares”) under the Company’s previously reported General Mandate at an issue price of HK$0.179 per ordinary share.
