Change i n Capital Structure On October 1, 2025, in response to recent changes under Wyoming law, the Board of Directors of Groovy Company, Inc. (the "Company") approved an amendment to the articles of incorporation and restatement (collectively, the "Amendment") of the Company's bylaws, effective as of the same date. The Amendment modified certain of the provisions of Article III (Stock of Corporation).
