01 Other Events
Item 8.01 Other Events As previously announced on November 20, 2025, on November 18, 2025, Greenwave Technology Solutions, Inc., a Delaware corporation (the "Company"), received a Staff Determination Letter from the Nasdaq Listing Qualifications Staff based on the Company's non-compliance with Nasdaq Listing Rule 5250(c)(1) (the "Filing Rule") because the Company had not yet filed its Quarterly Reports on Form 10-Q for the periods ended March 31, 2025, June 30, 2025 and September 30, 2025, with the Securities and Exchange Commission (the "SEC"). On November 21, 2025, the Company timely requested a hearing before the Nasdaq Hearings Panel (the "Panel") and requested that the automatic stay of suspension be extended through the completion of the hearings process and the expiration of any additional extension period granted by the Panel following the hearing. The hearing is scheduled for January 13, 2026 and the request for the automatic stay of suspension was granted. The Company filed its Quarterly Report on Form 10-Q for the period ended March 31, 2025 on November 19, 2025 and is actively working towards the filing of the Quarterly Reports on Form 10-Q for the periods ended June 30, 2025 and September 30, 2025 as promptly as possible in order to ensure full compliance with the Filing Rule.
