Present at the Annual Meeting in person or by proxy were holders of 77,798,798 shares of the Company's common stock, representing a majority of the Company's issued and outstanding shares as of October 21, 2024, the record date for the Annual Meeting, and constituting a quorum under the Company's amended and restated bylaws.
