Item 8.01 Other Events On December 29, 2025, Heritage Financial Corporation ("Heritage") issued a press release announcing the receipt of regulatory approvals from the Federal Deposit Insurance Corporation and Washington Department of Financial Institutions, as well as non-objection from the Board of Governors of the Federal Reserve System, for the previously announced merger (the "Merger") of Olympic Bancorp, Inc. ("Olympic") with and into Heritage, as well as for the proposed merger (the "Bank Merger") of Kitsap Bank, the bank subsidiary of Olympic, with and into Heritage Bank, the bank subsidiary of Heritage. All regulatory approvals required for the Merger and the Bank Merger have now been received. Heritage and Olympic intend to close the Merger on or about January 31 2026, subject to the satisfaction of the remaining customary closing conditions, including the receipt of shareholder approval by the shareholders of both Heritage and Olympic.
