01. Entry into a Material Definitive Agreement
Item 1.01. Entry into a Material Definitive Agreement. On May 23, 2024, we modified our $750.0 million unsecured revolving credit facility, which bears interest at SOFR plus a related spread adjustment of 10 basis points and a borrowing spread of 85 basis points (based on current credit ratings), to provide that the interest rate may be adjusted upward or downward by 2.5 basis points depending upon whether or not we achieve certain pre-determined sustainability goals with respect to the ongoing reduction of greenhouse gas emissions. The foregoing description of the revolving credit facility, as amended, is not complete and is qualified in its entirety by reference to the full text of the amendment, which is filed as Exhibit 10.1 hereto and incorporated herein by reference.
