Item 7.01 Regulation FD Disclosure As disclosed previously, on September 18, 2023, HealthEquity entered into a Custodial Transfer and Asset Purchase Agreement with Conduent Business Services, LLC, related to the transfer to HealthEquity of Conduent's health savings account ("HSA") portfolio in a series of three tranches. On March 7, 2024, the first of the three HSA asset transfers occurred, with approximately 266,000 HSAs and $1.1 billion of HSA assets transferring to HealthEquity's custody. In connection with this transfer, HealthEquity paid the applicable purchase price of $163.9 million using cash on hand.
