These Amended and Restated Certificate of Incorporation and Amended and Restated Bylaws are the same as the "form of" the Amended and Restated Certificate of Incorporation and Amended and Restated Bylaws previously filed as Exhibit 3.3 and Exhibit 3.5, respectively, to the Company's Registration Statement on Form S-1 (File No. 333-288733) filed with the Securities and Exchange Commission (as amended, the "Registration Statement").
