Item 8.01 Other Events. On January 30, 2025, the Board of Directors of the Company declared a quarterly cash dividend of $0.18 per common share, payable on February 27, 2025, to stockholders of record as of the close of business on February 13, 2025. Additionally, on January 30, 2025, the Board of Directors of the Company authorized a new stock repurchase program through January 2026. Under the program, the Company is authorized to repurchase, in the aggregate, up to $100.0 million of its outstanding common stock in open market purchases or through privately negotiated transactions as permitted under Rule 10b-18 promulgated under the Securities Exchange Act of 1934, as amended. The extent to which the Company repurchases its shares and the timing of such repurchases will depend upon market conditions and other corporate considerations, as determined by the Company's management team. Any repurchases are expected to be funded from available cash balances.
