Item 2.02 Results of Operations and Financial Condition On February 6, 2024 , Ichor Holdings, Ltd. (the "Company") issued a press release announcing fourth quarter and fiscal year 2023 financial results. A copy of the press release is furnished with this Form 8K as Exhibit 99.1. The Company is furnishing this information in connection with its previously announced webcast conference call to be held on February 6, 2024 , at 1:30 p.m. PT to discuss these results. The Company makes reference to certain nonGAAP financial measures, including nonGAAP gross profit, non-GAAP operating income, non-GAAP net income, nonGAAP diluted EPS, and free cash flow. The press release contains a reconciliation of each nonGAAP measure to the directly comparable GAAP measure.
