Item 8.01. Other Events On December 2, 2024, indie Semiconductor, Inc. (the " Company ") issued a press release announcing the commencement of a private offering (the " Offering "), subject to market and other conditions, of $175 million aggregate principal amount of its Convertible Senior Notes due 2029 (the " notes "). The Company also announced that it expects to grant the initial purchasers of the notes an option to purchase, during a 13-day period beginning on, and including, the date on which the notes are first issued, up to an additional $26.25 million aggregate principal amount of the notes. The notes will be offered only to purchasers reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. This report shall not constitute an offer to sell or the solicitation of an offer to buy the notes, shares of the Company's Class A common stock or any other securities and shall not constitute an offer, solicitation or sale in any jurisdiction in which such offering, solicitation or sale would be unlawful .
