Item 5.07 . Submission of Matters to a Vote of Security Holder. On December 4, 2025, InnovAge Holding Corp. (the "Company") held its 2025 Annual Meeting of Stockholders (the "Annual Meeting"). At the close of business on October 14, 2025, the record date for the Annual Meeting, the Company had 135,681,431 shares of common stock outstanding. The holders of 130,965,457 shares of the Company's common stock were present at the Annual Meeting, either in person or represented by proxy, which constituted a quorum for the purpose of conducting business at the Annual Meeting. Set forth below are the final voting results for each proposal submitted to a vote of the stockholders at the Annual Meeting. Proposal No. 1: Election of directors. The Company's stockholders elected the following nominees to serve as Class II directors for a term expiring at the Company's annual meeting of stockholders to be held in 2028 and until their successors are duly elected and qualified.
