On February 29, 2024, the Board of Directors (the "Board") of Independence Realty Trust, Inc. (the "Company") increased the size of the Board from 9 to 10 directors and appointed Craig Macnab, an additional independent director, to fill the newly created vacancy and whose term will expire at the Company's 2024 annual meeting of stockholders ("2024 Annual Meeting"), or until his earlier death, resignation, disqualification or removal. Mr. Macnab has an extensive history of leading a publicly held REIT in the retail sector. Currently, Mr. Macnab has served on the Board of VICI Properties Inc. (NYSE: VICI) since 2017, as the Chairman of its Compensation Committee since 2019, and as a member of its Audit Committee since 2020.
