Item 1.01 Entry into a Material Definitive Agreement. On August 2, 2019, IIOT-OXYS, Inc., a Nevada corporation (the " Company ") entered into a Securities Purchase Agreement with an investor for the purchase of a 12% Secured Convertible Note in the principal amount of up to $125,000 (the " Note "). The Note originally matured on August 2, 2021 and, after several amendments extending the maturity date, the Note was to mature on August 2, 2025. On August 6, 2025, the Company entered into an amendment dated effective August 2, 2025 to the Note extending the maturity date to February 2, 2026.
