01 Notice of Delisting or Failure to Satisfy a Continued
Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. As reported previously on the Current Report on Form 8-K filed by Inspire Veterinary Partners, Inc. (the "Company") on November 17, 2025, the Company received a notice letter (the "Notice") from the Listing Qualifications Department of The Nasdaq Stock Market LLC ("Nasdaq") notifying the Company that, based upon the closing bid price of the Company's common stock, par value $0.0001 per share, for the prior 30 consecutive business days, the Company was not in compliance with the minimum bid price requirement of Nasdaq Listing Rule 5550(a)(2). The Notice stated that the Company's securities would be suspended from trading on The Nasdaq Capital Market at the opening of business on November 24, 2025, and a Form 25-NSE would be filed with the U.S. Securities and Exchange Commission, which would remove the Company's securities from listing and registration on Nasdaq, unless the Company requested an appeal of such determination to Nasdaq's Hearings Panel (the "Panel") by November 20, 2025. The Company requested a hearing before the prescribed date, which request will stay any further suspension or delisting action by Nasdaq pending the ultimate conclusion of the hearing process. On November 21, 2025, the Company was informed that the hearing is scheduled for January 13, 2026. There can be no assurance that the Panel will grant the Company's request for continued listing or that the Company will be able to regain compliance and thereafter maintain its listing on Nasdaq. 1
