As of April 3, 2024, the record date for the Annual Meeting, there were 65,021,643 shares of common stock outstanding, each of which is entitled to cast one vote. A total of 49,458,197 shares of common stock of the Company were represented by proxy at the Annual Meeting, constituting a quorum.
