(the "Company") approved an amendment to the Company's Amended and Restated By-laws ("Amendment No. 1 to the Amended and Restated By-laws") to reduce the quorum needed for all meetings of stockholders to one-third (33.33%) of the Company's voting power of the issued and outstanding shares of capital stock of the Company entitled to vote at the meeting, present in person or represented by proxy.
