Item 8.01 Other Events. On September 10, 2024, the Company announced that it has priced an offering of $500,000,000 aggregate principal amount of its 8.750% senior notes due 2031 (the "New Notes"). The offering is expected to close on September 24, 2024, subject to customary closing conditions. The Company intends to use the net proceeds from the offering of the New Notes, together with cash on hand, to fund the tender offers for a portion of its 7.125% Senior Notes due 2026, 7.750% Senior Notes due 2027 and 7.500% Senior Notes due 2028 and to pay any related premiums, fees and expenses. The New Notes have not been and will not be registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act or any applicable under Rule 144A under the Securities Act and outside the United States, to non-U.S. persons in compliance with Regulation S under the Securities Act. A copy of the press releases announcing the pricing of the New Notes is attached hereto as Exhibits 99.1 and is incorporated herein by reference. This report is neither an offer to sell nor a solicitation of an offer to buy the New Notes or any other securities, and it does not constitute an offer to purchase or a solicitation to sell any notes subject to the tender offers or any other securities or a conditional notice of partial redemption with respect to any securities.
