Item 5.07 Submission of Matters to a Vote of Security Holders. On October 16, 2024, the Koss Corporation (the "Company") held its annual meeting of stockholders (the "Annual Meeting"). It was a completely virtual meeting. At the Annual Meeting, the Company's stockholders elected Thomas L. Doerr, Michael J. Koss, Steven A. Leveen, William J. Sweasy, and Lenore E. Lillie to serve as directors. The Company's stockholders approved, on a non-binding advisory basis, the compensation paid to the Company's Named Executive Officers as disclosed in the proxy statement for the Annual Meeting as filed with the Securities and Exchange Commission on August 30, 2024 (the "Proxy Statement"). In addition, the Company's stockholders ratified the appointment of Wipfli LLP as the Company's independent registered public accounting firm for the fiscal year ending June 30, 2025.
