On January 22, 2025, Liberty Broadband Corporation ("Liberty Broadband") issued a press release announcing that it will hold a virtual special meeting of its holders of Series A common stock, Series B common stock, Series C common stock and Series A Cumulative Redeemable preferred stock on February 26, 2025 at 11:30 a.m. M.T. At the special meeting, holders of Liberty Broadband's Series A common stock, Series B common stock and Series A Cumulative Redeemable preferred stock will be asked to consider and vote on a proposal to approve the adoption of the Agreement and Plan of Merger, dated November 12, 2024, by and among Liberty Broadband, Charter Communications, Inc. ("Charter"), Fusion Merger Sub 1, LLC, a wholly owned subsidiary of Charter ("Merger LLC"), and Fusion Merger Sub 2, Inc., a wholly owned subsidiary of Merger LLC, pursuant to which, among other things, Liberty Broadband will combine with Charter. This Current Report on Form 8-K and the press release attached hereto as Exhibit 99.1 are being furnished to the Securities and Exchange Commission under Item 7.01 of Form 8-K in satisfaction of the public disclosure requirements of Regulation FD and shall not be deemed "filed" for any purpose.
