(a) Dismissal of Previous Independent Registered Public Accounting Firm On September 24 th , 2024, The Audit Committee of Leafbuyer Technologies, Inc, approved the dismissal of Barton CPA as the company's independent registered public accounting firm. Barton CPA had previously been appointed on June 10th, 2024 as the Company's independent registered accounting firm. The audit reports of Barton CPA on the Company's consolidated financial statements for 10-Q Jan-March 2023 and 10-Q Jan-March 2024 Re-Review did not contain an adverse opinion or a disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles. During the company's two most recent fiscal years ended June 30, 2023 and 2022 subsequent interim period through the date of this current report, the Company is of the opinion that: there were no (a) disagreements with Barton CPA on any matter of accounting principles or practices, financial statement disclosures, or auditing scope or procedure, which disagreements, if not resolved to Barton's CPA satisfaction, would have caused Barton CPA to make reference to the subject matter therof in connection with its report for such period; or (b) reportable events, as described under Item 304(a)(1)(v) of Regulation s-K 2 EXHIBIT A 3
