01 Other Events
Item 8.01 Other Events. On February 3, 2025, Christopher E. Kubasik, Chair and Chief Executive Officer of L3Harris Technologies, Inc. (the "Company"), established a written pre-arranged plan providing for the exercise of certain employee stock options and the sale of shares of the Company's common stock issued upon exercise of such options (the "Plan"). The Plan has been adopted under Rule 10b5-1 under the Securities Exchange Act of 1934, as amended, and the Company's policies regarding transactions in the Company's securities by executives and was established during the Company's open trading window. In accordance with Rule 10b5-1, Mr. Kubasik will have no discretion over sales under the Plan. The Plan covers vested options to purchase 35,273 shares granted to Mr. Kubasik in February 2017, which options expire in February 2027. Subject to minimum price thresholds specified in the Plan, shares underlying unexercised options will be sold on predetermined dates starting in May of 2025 and ending no later than June 12, 2025. Mr. Kubasik's ownership interest in the Company is considerably in excess of the Company's stock ownership guidelines. Transactions under the Plan will be disclosed publicly through Form 4 and Form 144 filings, as applicable, with the U.S. Securities and Exchange Commission. Except as may be required in the Company's periodic filings on Form 10-Q or Form 10-K, the Company does not undertake to report any Rule 10b5-1 plans that may be adopted by any other officers or directors of the Company or to report modifications or termination of any such plans, including the Plan.
