Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. On October 15, 2025, Lunai Bioworks (the "Company") received a Notice from the NASDAQ Stock Market that the Company has regained compliance with Listing Rule 5550(a)(2). On April 14, 2025, the NASDAQ staff notified the Company that its common stock failed to maintain a minimum bid price of $1.00 over the previous thirty (30) consecutive business days as required by the Listing Rules of the NASDAQ Stock Market. Since then, the staff of NASDAQ has determined that for the last eleven (11) consecutive business days from September 30, 2025 to October 14, 2025, the closing bid price of the Company's common stock has been at $1.00 per share or greater.
