A total of 4.2 million shares of the Company's common stock outstanding and entitled to vote were represented at the Annual Meeting in person or by proxy, representing approximately 52.8% of the total number of shares entitled to vote. The matter submitted to the stockholders for a vote was the election of three directors to serve until the 2025 annual meeting of stockholders and until their successors are duly elected and qualify.
