On December 16, 2025, the Company's Board of Directors appointed Mr. Gary A. Coombe as a Class II Director, effective January 1, 2026. He will serve on the Audit Committee and on the Corporate Governance and Nominating Committee of the Company's Board of Directors. Mr. Coombe, 61, has served as the Procter & Gamble Company's Chief Executive Officer - Grooming since 2018. Since joining P&G in 1986, he has served in various global leadership positions of increasing responsibility. There are no understandings or arrangements between Mr. Coombe and any other person pursuant to which Mr. Coombe was selected as a director of the Company. Mr. Coombe has no family relationship with any director or executive officer of the Company or any person nominated or chosen by the Company to become a director or executive officer. There are no transactions in which Mr. Coombe has an interest requiring disclosure under Item 404(a) of Regulation S-K.
