Item 8.01. Other Events. On December 4, 2024, certain Australian creditors of Mawson Infrastructure Group Inc. (the "Company"), such creditors being W Capital Advisors Pty Ltd as trustee for the W Capital Advisors Fund, Marshall Investments MIG Pty Ltd as trustee for the Marshall Investments MIG Trust and Rayra Pty Ltd as trustee for The Mountainview Trust (the "Petitioners"), filed an involuntary petition (the "Petition") in the United States Bankruptcy Court, District of Delaware (Delaware), pursuant to Chapter 11 of Title 11 of the United States Code. The Company has not yet been formally served with the involuntary petition and to the Company's knowledge no receiver or fiscal agent has been appointed and no court has yet assumed jurisdiction. If served, the Company plans to vigorously defend itself against this Petition. The Company expects to continue to operate as usual and execute its business plan accordingly. A press release regarding this matter and certain incorrect reporting of the Petition being filed by the Company rather than the Petitioners was issued on December 4, 2024 and is attached as Exhibit 99.1 to this Current Report on Form 8-K.
