A proposal to elect one Class I Director to be elected by the holders of Common Stock and Preferred Shares, voting together as a single class, to the Funds Board of Directors; and one Class I Director to be elected by the holders of Preferred Shares to the Funds Board of Directors ( Proposal No. 1 ); and 2.
