Use of Proceeds The purpose of this Rights Offering is to raise capital to support the Company's efforts to continue to increase earnings and shareholder return. This capital may be used for potential acquisitions, strategic investments, investment in a strategic RF fund, and/or general corporate purposes, which may include working capital, capital expenditures and repayment or refinancing of outstanding indebtedness (if any). Assuming that all Rights are exercised, the net proceeds from the exercise of the Rights is expected to be approximately $42.1 million, after deducting our estimated expenses related to the Rights Offering. Board Recommendation The Board will make no recommendation as to whether or not a stockholder should exercise any Rights or otherwise participate in the Rights Offering.
