Item 8.01 Other Events. On December 12, 2025, Marvell Technology, Inc. (the "Company") announced that its Board of Directors had declared the payment of its quarterly dividend of $0.06 per share to be paid on January 29, 2026 to all stockholders of record as of January 9, 2026. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated by reference herein. The payment of future quarterly cash dividends is subject to, among other things, the best interests of the Company and its stockholders, its results of operations, cash balances and future cash requirements, financial condition, statutory requirements of Delaware law, and other factors that the Board of Directors may deem relevant.
