At the Special Meeting, a total of 12,830,792 shares of common stock were present by remote communication or represented by proxy at the meeting, representing approximately 54.05% of the Company's outstanding common stock as of the August 1, 2024 record date. The following are the voting results for the proposal considered and voted upon at the Special Meeting, which was described in the Company's definitive Proxy Proposal - Approval, for purposes of complying with Nasdaq listing Rule 5635(d), of the potential issuance of up to 6,602,439 shares of our common stock upon exercise of our Pre-Funded Warrants that were issued in connection with a private placement on July 1, 2024.
