Item 1.01 Entry into a Material Definitive Agreement. On August 22, 2025, Matrix Service Company (the "Company") entered into the Fourth Amendment to Credit Agreement and Joinder (the "Amendment"), which amended the Company's Credit Agreement, dated as of September 9, 2021 with Bank of Montreal, as Administrative Agent, Swing Line Lender and a Letter of Credit Issuer (as amended by the Amendment, the "Credit Agreement"). The Amendment (i) extends the maturity date of the Credit Agreement from September 9, 2026 to September 9, 2029, (ii) extends the deadline for the Company to request a $15,000,000 increase in the commitments under the Credit Agreement to August 22, 2028, the three year anniversary of the closing of the Amendment, and (iii) adds certain additional Company subsidiaries as guarantors under the Credit Agreement.
