Item 8.01 Other Events. On October 16, 2024, the Company's Board of Directors declared a regular quarterly dividend of $0.11 per share on the Company's common stock. The dividend is payable on December 05, 2024, to the stockholders of record on October 31, 2024. On October 16, 2024, the Company's Board of Directors authorized a new $200 million share repurchase program. The authorization is effective immediately. A copy of the press release announcing the dividend declaration and the share repurchase program is attached hereto as Exhibit 99.1 and incorporated by reference herein.
