Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. Chief Executive Officer Transition On October 2, 2024, Murphy Oil Corporation (the "Company") announced that the Board of Directors (the "Board") has unanimously appointed Eric M. Hambly, currently the Company's President and Chief Operating Officer, as the President and Chief Executive Officer, effective as of January 1, 2025, and has also elected Mr. Hambly to the Board, effective as of January 1, 2025. Mr. Hambly will be succeeding Roger W. Jenkins, who will be retiring as Chief Executive Officer of the Company and as a member of the Board, effective as of December 31, 2024, and thereafter is expected to serve as a non-executive employee. In that capacity, Mr. Jenkins will serve as an advisor to the Board and management until his retirement from the Company on December 31, 2025. Mr. Hambly, age 50, joined the Company in 2006 in the Corporate Reserves department earning roles with increasing responsibility. He was named Senior Vice President, US Onshore in 2016, promoted to Executive Vice President, Onshore in 2018 and Executive Vice President, Operations in 2020, and has played a critical leadership role in the Company's worldwide exploration and production operations, primarily focusing on offshore operations in the Gulf of Mexico and Malaysia, as well as onshore operations in the US and Canada. He was promoted to Executive Vice President, Operations, in 2020 and assumed his current position as President and Chief Operating Officer in February 2024.
