Item 8.01. Other Events. On October 1, 2025, MVB Financial Corp. ("MVB", the "Company") issued a press release, which is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein, announcing its entry into a definitive agreement, an asset purchase agreement, dated September 30, 2025, by and between MVB, Victor Technologies, Inc. ("Victor") and Jack Henry & Associates ("Jack Henry") (the "Asset Purchase Agreement") to sell substantially all assets and operations of Victor (the "Transaction"). The Transaction was completed on September 30, 2025 subject to customary closing conditions. The Transaction is expected to generate a pre-tax gain of approximately $33 million to MVB and is expected to be accretive to MVB's earnings per share. The Company plans to use the net proceeds from the Transaction for general corporate purposes, which may include repositioning a portion of the available-for-sale securities portfolio, share repurchases and/or other capital and earnings optimization strategies aimed at enhancing shareholder value over time.
