Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On June 4, 2024, PLAYSTUDIOS, Inc. (the "Company") held its 2024 Annual Meeting of Stockholders (the "Annual Meeting"). At the Annual Meeting, the Company's stockholders approved an amendment to the Company's certificate of incorporation (the "Certificate of Incorporation"). Section 8.01 of the Certificate of Incorporation has been amended to adopt provisions allowing officer exculpation consistent with Delaware law. The Certificate of Amendment of Certificate of Incorporation was filed with the office of the Secretary of State of the State of Delaware on June 5, 2024 and is effective as of that date. The foregoing description is qualified in its entirety to the text of the Certificate of Amendment of Certificate of Incorporation, which is included as Exhibit 3.1 and incorporated herein by reference.

Item 5.07 Submission of Matters to a Vote of Security Holders. The Company's stockholders voted on three proposals at the Annual Meeting, each of which is described in more detail in the Company's definitive proxy statement filed with the Securities and Exchange Commission on April 24, 2024. Present at the Annual Meeting in person or by proxy were holders of 398,612,470 shares of common stock of the Company, representing 87.85% of the voting power of the shares of common stock of the Company as of the close of business on April 10, 2024, the record date for the Annual Meeting, and constituting a quorum for the transaction of business. Stockholders of the Company voted on the following proposals at the Annual Meeting: Proposal 1: To elect six directors for a one-year term; Proposal 2: To ratify the appointment of Deloitte & Touche LLP ("Deloitte") as our independent registered public accounting firm for the fiscal year ending December 31, 2024; and Proposal 3: To approve and adopt an amendment to our Certificate of Incorporation to reflect recent changes in Delaware law regarding the exculpation of officers.
