(the "Company") issued a press release announcing the Company's August 20, 2025, closing of an offering of 2,000,000 depositary shares, each representing a 1/40th interest in a share of the Company's 8.500% Fixed-Rate Reset Non-Cumulative Perpetual Preferred Stock, Series B. A copy of the Press Release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
