On February 10, 2025, the Audit Committee of the Board of Directors (the "Audit Committee") of Enviri Corporation (the "Company") approved the engagement of Deloitte & Touche LLP ("Deloitte") as the Company's independent registered accounting firm for the fiscal year ending December 31, 2025 and related interim periods, subject to Deloitte's satisfactory completion of customary client acceptance procedures and the execution of an engagement letter. The Audit Committee's appointment of Deloitte marks the conclusion of the Company's previously disclosed strategic request-for-proposal process in 2024, which solicited proposals from accounting firms to provide audit services to the Company as its independent registered public accounting firm for the fiscal year ending December 31, 2025. During the Company's two most recent fiscal years ended December 31, 2024 and 2023, and during the subsequent interim period through February 14, 2025, neither the Company nor anyone on its behalf has consulted with Deloitte regarding either (1) the application of accounting principles to a specific transaction, completed or proposed, or the type of audit opinion that might be rendered on the Company's consolidated financial statements, and neither a written report nor oral advice was provided to the Company that Deloitte concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing, or financial reporting issue, or (2) any matter that was either the subject of a "disagreement" (as defined in Item 304(a)(1)(iv) of Regulation S-K) or a "reportable event" (as described in Item 304(a)(1)(v) of Regulation S-K).
