Equity Award to Non-Employee Directors On August 24, 2025, as part of Nuvve Holding Corp.'s (the "Company") ongoing review of its corporate governance practices and in an effort to continue to attract and retain qualified members of the Board of Directors (the "Board"), the Compensation Committee of the Board recommended, and the Board approved, an equity award to the Company's non-employee directors consisting of 100,000 restricted stock units, which vest immediately.
